These Terms of Business govern the provision of our professional services.


2. Application of These Terms

These Terms apply to all services provided by Edgemark Accounting Ltd unless otherwise agreed in writing.

By instructing us, you agree to be bound by these Terms.

Specific services will be confirmed in an Engagement Letter or Service Agreement.

If there is any conflict between these Terms and a signed Engagement Letter, the Engagement Letter will prevail.


3. Our Services

We provide services including but not limited to:

  • CIS tax rebate claims
  • Self Assessment tax returns
  • Payroll services
  • VAT returns
  • Company accounts
  • Business advisory
  • Tax calculations and reviews

We will provide services with reasonable care and skill in accordance with applicable UK laws and professional standards.


4. Your Responsibilities

You agree to:

  • Provide complete and accurate information
  • Respond promptly to requests
  • Notify us of relevant changes
  • Retain necessary records
  • Review documents we prepare

You are legally responsible for:

  • The accuracy of tax returns
  • Filing deadlines
  • Payment of tax liabilities

Unless explicitly agreed, we are not responsible for monitoring deadlines outside the scope of our engagement.


5. Fees & Payment

Our fees may be:

  • Fixed fee
  • Percentage-based (e.g., rebate services)
  • Hourly rate
  • Monthly subscription

Fees will be confirmed in writing.

Invoices are payable within 7 days unless otherwise agreed.

We reserve the right to:

  • Charge interest on late payments
  • Suspend services for non-payment
  • Recover reasonable collection costs

Where fees are based on a percentage of tax recovered, payment becomes due upon successful recovery.


6. Authority & HMRC

Where applicable:

  • You authorise us to act as your agent with HMRC
  • You authorise us to correspond electronically
  • You authorise us to file returns on your behalf once approved

We are not responsible for delays caused by HMRC.


7. Anti-Money Laundering (AML)

We are legally required to:

  • Verify your identity
  • Conduct due diligence
  • Report suspicious activity where required

We may request documentation including:

  • Passport or driving licence
  • Proof of address

If we cannot complete required checks, we may decline or cease engagement.


8. Confidentiality

We will keep your information confidential except where:

  • Disclosure is required by law
  • Disclosure is required by professional regulation
  • You provide consent

We use secure systems and take reasonable steps to protect data.


9. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Our liability is limited to the amount of fees paid for the relevant service.
  • We are not liable for indirect or consequential losses.
  • We are not responsible for losses arising from inaccurate or incomplete information provided by you.
  • We are not responsible for losses caused by third parties, including HMRC or software providers.

Nothing in these Terms limits liability for death, personal injury, or fraud.


11. Professional Indemnity Insurance

We maintain Professional Indemnity Insurance in accordance with UK regulatory requirements. Details are available upon request.


12. Termination

Either party may terminate engagement in writing.

Upon termination:

  • Outstanding fees become immediately payable.
  • We will not be responsible for ongoing compliance unless agreed.
  • You remain responsible for all filing deadlines.

We reserve the right to disengage if:

  • Fees remain unpaid
  • AML checks fail
  • You provide misleading information
  • There is a breakdown in professional relationship

13. Electronic Communication

We may communicate via:

  • Email
  • Cloud portals
  • Electronic signature platforms

While we take reasonable precautions, electronic communication carries inherent risks.


14. Third-Party Software

We may use third-party platforms for:

  • Payroll
  • Cloud accounting
  • Document storage
  • Digital signatures

We are not responsible for outages or failures of third-party systems.


15. Complaints Procedure

16. Governing Law

These Terms are governed by the laws of England & Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
